What "good standing" actually requires

Forming a company creates obligations that repeat every year. Miss them and the state moves your company to delinquent status, then administratively dissolves it — usually while you are still using the bank account.

The requirements differ by state: some want an annual report, some want a franchise tax, some want both, and the due dates are rarely the anniversary of formation. On top of the state layer sits the federal one, which catches most non-resident owners by surprise.

The three that cause real damage

Form 5472

Foreign-owned single-member LLCs must file this every year, even with zero income and zero activity. The penalty for not filing starts at USD 25,000. This is the single most common and most expensive oversight we see.

State annual report

Missing it moves you to delinquent status, then dissolution. Reinstatement costs more than the report ever would have, and banks notice.

Registered agent lapse

If your agent resigns or is not renewed, the state has no way to reach you — and keeps sending notices you will never receive.

What clients ask about this

My LLC had no income. Do I still have to file?

Almost certainly yes. Form 5472 and most state annual reports are due regardless of whether the company traded. "No activity" is not an exemption.

What happens if I already missed a deadline?

Tell us how late. Many states allow reinstatement, and late federal filings can sometimes be handled with a reasonable-cause statement. It is almost always better to fix it than to hope.

Is this included in formation packages?

The Premium package includes first-year annual report filing and Form 5472. Otherwise it is available separately.

Do you file my personal tax return?

No. We handle the company’s standard filings. Personal returns and treaty positions need a licensed CPA, and we will refer you rather than improvise.
