The terms that govern your use of Incorvex services — what we do, what we need from you, and where our responsibility ends.

These terms form a contract between you and Incorvex LLC ("Incorvex"). By placing an order you accept them.
1. What we are
Incorvex is a company formation and filing service. We are not a law firm, an accountancy firm, a bank or a tax advisor. Nothing we provide is legal, tax, accounting or financial advice. Where a matter requires a licensed professional we will say so.
2. Services
We prepare and submit the filings described in the package or quote you accept. The scope is what appears in that quote — anything else is a separate order.
3. Your responsibilities
- Provide accurate, complete and current information, and tell us promptly if it changes.
- Provide genuine identity documents. Submitting false documentation is grounds for immediate termination without refund, and may be reported.
- Confirm that you are legally permitted to own a U.S. company and are not subject to sanctions.
- Meet your own ongoing obligations — tax, reporting and licensing — in the U.S. and in your country of residence.
4. Fees and government charges
Our fees are stated in your quote. Government filing fees, expedite fees, franchise taxes and USPTO fees are set by third parties, passed through at cost, and are not included in our fee. Work begins once payment has cleared.
5. Timelines
Any timeframe we give is an estimate based on current processing conditions. Processing times at state agencies, the IRS, banks and the USPTO are outside our control, and delays there are not a breach of these terms.
6. Third-party decisions
We cannot and do not guarantee that a bank will approve an account, that the IRS will issue an EIN within any particular period, that a payment processor will accept your business, or that a trademark will register. We prepare and submit applications properly; the decision belongs to the third party.
7. Limitation of liability
To the fullest extent permitted by law, our total liability arising out of or in connection with our services is limited to the fees you paid us for the specific service giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits, lost business or lost data.
8. Termination
You may cancel in line with our Cancellation & Refund Policy. We may decline or terminate an engagement where identity verification fails, where the engagement would breach sanctions or applicable law, or where a client is abusive to our staff.
9. Intellectual property
The content of this website belongs to Incorvex. Documents we prepare for you become yours on payment.
10. Governing law
These terms are governed by the laws of the State of Arizona, United States, and the courts of the State of Arizona, United States have exclusive jurisdiction.
